{"id":330,"date":"2009-10-24T14:54:01","date_gmt":"2009-10-24T09:24:01","guid":{"rendered":"http:\/\/www.niftylivecharts.com\/blog\/?p=330"},"modified":"2009-10-24T14:54:01","modified_gmt":"2009-10-24T09:24:01","slug":"capitalization-and-tailgating","status":"publish","type":"post","link":"https:\/\/www.niftylivecharts.com\/blog\/capitalization-and-tailgating\/","title":{"rendered":"capitalization and tailgating"},"content":{"rendered":"<p><strong>Tailgating <\/strong><br \/>\nWhen a broker or advisor buys or sells a security for a client(s) and then immediately makes the same transaction in his or her own account.<br \/>\nThis is not illegal like front running, but it is not looked upon favorably because the broker is mostly likely placing a trade for his or her own account based on what the client knows (like inside information).\u00a0 Sometimes the size of such an order would prompt the broker to do tailgating.<\/p>\n<p><strong>Take Delivery <\/strong><br \/>\nPhysical acceptance of share, which client buys\u00a0 on his account.<\/p>\n<p><strong>Takeover <\/strong><br \/>\nA change in the control of a company, usually accompanied by a change in the board of directors and senior management if the takeover is hostile. In a friendly takeover, the management doesn\u2019t usually change, and the takeover works to the benefit of the TARGET COMPANY.<\/p>\n<p><strong>Target Price<\/strong><br \/>\nWhen an investor buys a share, usually he has a higher price in mind where he expects the share to reach. This is the target price.<\/p>\n<p><strong>Technical Correction<\/strong><br \/>\nA fall of short duration in the share prices in a rising market; may be caused by a large number of investors booking profit because prices reach the support level.<\/p>\n<p><strong>Technical Rally<\/strong><br \/>\nA short rise of\u00a0 share prices in a declining market; may be caused by investors buying at the current low prices, or prices having reached the SUPPORT LEVEL. As the term suggests, the rally is short \u2013 lived, and prices starts to\u00a0 fall again.<br \/>\n<strong><br \/>\nTender Offer<\/strong><br \/>\nin\u00a0\u00a0 a clean takeover bid there may be a public offer to shareholders of the target company to sell their shares at an attractive price to the company which intends to take over. The cash offer is known as a tender offer.<\/p>\n<p><strong>Term Discount Bonds<\/strong><br \/>\nThese bonds have a higher face value than the issue price, the face value being redeemed in a certain number of instalments, equally divided.<br \/>\n<strong><br \/>\nTerm Shares <\/strong><br \/>\nShares which cannot be sold for a stipulated period to time. Usually the term is stamped on the certificate.<\/p>\n<p><strong>Thin Capitalization<\/strong><br \/>\nit is the CAPITAL GEARING with too few shares and too much loan.
