capitalization and tailgating

Tailgating
When a broker or advisor buys or sells a security for a client(s) and then immediately makes the same transaction in his or her own account.
This is not illegal like front running, but it is not looked upon favorably because the broker is mostly likely placing a trade for his or her own account based on what the client knows (like inside information).  Sometimes the size of such an order would prompt the broker to do tailgating.

Take Delivery
Physical acceptance of share, which client buys  on his account.

Takeover
A change in the control of a company, usually accompanied by a change in the board of directors and senior management if the takeover is hostile. In a friendly takeover, the management doesn’t usually change, and the takeover works to the benefit of the TARGET COMPANY.

Target Price
When an investor buys a share, usually he has a higher price in mind where he expects the share to reach. This is the target price.

Technical Correction
A fall of short duration in the share prices in a rising market; may be caused by a large number of investors booking profit because prices reach the support level.

Technical Rally
A short rise of  share prices in a declining market; may be caused by investors buying at the current low prices, or prices having reached the SUPPORT LEVEL. As the term suggests, the rally is short – lived, and prices starts to  fall again.

Tender Offer

in   a clean takeover bid there may be a public offer to shareholders of the target company to sell their shares at an attractive price to the company which intends to take over. The cash offer is known as a tender offer.

Term Discount Bonds
These bonds have a higher face value than the issue price, the face value being redeemed in a certain number of instalments, equally divided.

Term Shares

Shares which cannot be sold for a stipulated period to time. Usually the term is stamped on the certificate.

Thin Capitalization
it is the CAPITAL GEARING with too few shares and too much loan. Tax authorities may not treat the interest payment as expenditure and tax some of it as a  dividend.
